Terms of Service and Privacy Policy

Terms of Service and Use

This page states the Terms of Service and Use (the "Terms") under which you (“You”) may use www.okcnp.org (referred to herein as “okcnp.org” or the “Site”), an on-line association management services portal and guide, which such Site is owned and managed by the Oklahoma Center for Nonprofits (“Us”, “We”, or “Our”, as the context requires). Please read these Terms carefully. If You do not accept the Terms stated here, do not use the Site or its services. By using okcnp.org, You agree to be bound by these Terms, including the okcnp.org Privacy Statement contained herein.


1. Eligibility.  You must be 18 years of age or older, or the age of majority as defined in your jurisdiction, whichever is older, to visit or use okcnp.org in any manner. By visiting okcnp.org or accepting these Terms, You represent and warrant to Us that You have reached the age of majority in your jurisdiction, and that You have the right, authority and capacity to agree to and abide by these Terms. You also represent and warrant to Us that You will use okcnp.org in a manner consistent with any and all applicable laws and regulations.

2. Use of Site Content.  We authorize You to view and access a single copy of the content available on or from the Site solely for your personal use. The contents of the Site, and of all other Web sites under Our control, whether partial or otherwise, and such other Web sites containing text, graphics, images, logos, button icons, software and other okcnp.org content (collectively, "okcnp.org Content"), are protected under both United States and foreign copyright, trademark and other laws. All okcnp.org Content is the property of the Oklahoma Center for Nonprofits, its content suppliers, or clients.

You further agree to in no other way misuse okcnp.org Content that appears on this Site, other than those ways specifically permitted herein or by written agreement with Us. Unless specifically permitted herein or in writing by Us, the use of the okcnp.org Content on any other Web site or in a networked computer environment for any purpose is prohibited. 

3. okcnp.org's Ownership Rights. We, along with licensors of any licensed content, own all right, title and interest, including without limitation all worldwide intellectual property rights in the okcnp.org Content, and all such rights to all derivative works or enhancements of, in and to, or relating to, the okcnp.org Content. By entering into this Agreement or by using the Site, You will not acquire any intellectual property or similar rights in the okcnp.org Content other than a limited right to use the Site for Your personal benefit.
    
4. okcnp.org's Site Restrictions.  You may not use the Site in order to transmit, post, distribute, store or destroy material, including without limitation, okcnp.org Content, (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive or hateful.

You agree that you will not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain, use or access, or attempt to obtain, use or access, any materials or information through any means not intentionally made publicly available or provided for through the Site.

5. Advertisers.  If You participate as an advertiser on the Site, You are solely responsible for all advertising content You transmit or submit to okcnp.org or through any advertiser program affiliated with the Site, whether created by or for You, including but not limited to: (i) artwork, written content, images, photos, graphics, music, animation, data, text, information, URLs, hypertext links, scripts and the content and material included in such components; and (ii) websites and content proximately reachable from such advertising content (collectively, "Ads"). Prior to providing any Ads and participating as a advertiser, You may be required to read and accept additional written terms and conditions governing Your submission of Ads to the Site (the "Advertiser Agreement"). We disclaim all liability relating to Your Ads and You agree to indemnify Us for all losses We incur associated with the Ads.

By submitting content for advertising to any public area of any okcnp.org Site, You automatically grant to Us and Our affiliates an irrevocable, royalty-free, perpetual, fully paid non-exclusive right (including moral rights) and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute such content (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content) such Content, and to grant and authorize sublicenses thereof (through multiple tiers).

okcnp.org does not represent or guarantee the truthfulness, accuracy, or reliability of Advertiser Content.

6. Copyright Agent.  We respect the intellectual property rights of others, and require that the people who use the Site do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please forward the following information to Us, as the Copyright Agent pursuant to the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(2), named below:

  • Your address, telephone number, and email address;
  • A description of the copyrighted work that you claim has been infringed;
  • A description of where the alleged infringing material is located;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; and
  • A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

7. Our Liability.  okcnp.org acts as a venue for on-line association management services portal and guide. okcnp.org may take any action with respect to content that it deems necessary or appropriate in its sole discretion if it believes that such content could create liability for okcnp.org, damage okcnp.org's brand or public image, or cause okcnp.org to lose (in whole or in part) the services of its ISPs or other suppliers. While We reserve the right in Our sole discretion to remove content or other material from the Site from time to time, We do not assume any obligation to do so and disclaim any liability for failing to take any such action.

The Site and any okcnp.org Content may contain inaccuracies or typographical errors. We make no representations about the accuracy, reliability, completeness, or timeliness of any okcnp.org Content. The use of all okcnp.org Content is at your own risk. Changes are periodically made to the Site and may be made at any time. We cannot guarantee and do not promise any specific results from use of Site. No advice or information, whether oral or written, obtained by You from the Site or through or from Us shall create any warranty not expressly stated herein.


8. DISCLAIMER OF WARRANTIES. 
THE SITE, INCLUDING, WITHOUT LIMITATION, ALL SERVICES, CONTENT, FUNCTIONS AND MATERIALS, IS PROVIDED "AS IS," "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE, FOR INFORMATION, DATA, DATA PROCESSING SERVICES, UPTIME OR UNINTERRUPTED ACCESS, ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, AND WE HEREBY DISCLAIM ANY AND ALL SUCH WARRANTIES, EXPRESS AND IMPLIED. WE DO NOT WARRANT, REPRESENT OR COVENANT THAT THE WEB SITE OR THE SERVICES, CONTENT, FUNCTIONS OR MATERIALS CONTAINED THEREIN WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY THAT THE WEB SITE WILL MEET USERS' REQUIREMENTS. NO ADVICE, RESULTS OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. WE ASSUME NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THE SITE OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO, AUDIO OR SOFTWARE FROM THE SITE. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE REMEDY IS TO DISCONTINUE USING THE SITE.

9. LIMITATION OF LIABILITY.  IN NO EVENT SHALL THE OKLAHOMA CENTER FOR NONPROFITS, ITS AFFILIATES OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR CONTENT OR SERVICE PROVIDERS (COLLECTIVELY, THE "PROTECTED ENTITIES") BE LIABLE, WHETHER IN AN ACTION BASED ON A CONTRACT INDEMNIFICATION, OBLIGATION, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), COLLATERALLY OR ARISING FROM ANY STATUTORY DUTY, PRE-CONTRACT OR OTHER REPRESENTATIONS, OR OTHERWISE, HOWEVER ARISING, FOR ANY ECONOMIC LOSSES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUES, PROFITS, CONTRACTS, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS) OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM, OR DIRECTLY OR INDIRECTLY RELATED TO, THE USE OF, OR THE INABILITY TO USE, THE SITE OR THE CONTENT, MATERIALS AND FUNCTIONS RELATED THERETO, YOUR PROVISION OF INFORMATION VIA THE WEB SITE, LOST BUSINESS OR LOST SALES, EVEN IF SUCH PROTECTED ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

10. Local Standards.  We do not represent that materials on the Site are appropriate for use in all locations. Persons who choose to access the Site do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

11. Links to Content and Other Sites. okcnp.org and certain other okcnp.org Sites contain links to third party web sites and content. These links are provided solely as a convenience to You and not as an endorsement by Us of the contents on such third-party Web sites. We are not responsible for the content of linked third-party sites and do not make any representations regarding the content or accuracy of materials on such third party web sites. If You decide to access linked third-party web sites, You do so at your own risk.

okcnp.org and certain other okcnp.org Sites contain links to social media sites, including but not limited to testimonials. These links are provided solely as a convenience to You and not as an endorsement by Us of the content on such social media sites. We are not responsible for the content, accuracy of such content, or manner in which such content is provided to these third party social media sites. You specifically agree that the use of these social media sites in conjunction with the Site is at your own risk. 

12. Indemnity.  You agree to defend, indemnify, and hold harmless Us, Our affiliates, and respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any content or other material You provide to any okcnp.org Site, or (ii) your breach of these Terms. We shall provide notice to You promptly of any such claim, suit, or proceeding.

13. Miscellaneous.  The Terms of Service and the relationship between You and Us shall be governed by the laws of the State of Oklahoma, without regard to its conflict of law provisions. You agree that any cause of action that may arise under the Terms of Service shall be commenced and be heard in the appropriate court in Oklahoma County, State of Oklahoma. You agree to submit to the personal and exclusive jurisdiction of the courts located within Oklahoma County, State of Oklahoma. Our failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Service by Us must be made in writing and signed by an authorized representative, specifically referencing these Terms and the provision to be waived. Headings used in these Terms are for convenience only and are not to be relied upon. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties agree that such court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. These Terms will inure to the benefit of, and are intended to be enforceable by, Our successors, assigns and licensees. 

14. Legal Disputes.   If any dispute arises between You, another advertiser and/or Us or any combination thereof, as it relates to the Site and this Agreement, such dispute shall be submitted and settled in accordance with the Rules of the American Arbitration Association, in Oklahoma County, Oklahoma, and the decision of a single English speaking arbitrator shall be final and binding. 


Internet Privacy and Data Statement

The Oklahoma Center for Nonprofits (the “Center” or “us”) is committed to respecting your privacy. We’ve structured our website so that, in general, you can visit the Center on the web without identifying yourself or revealing any personal information. Once you choose to provide us personally identifiable information (meaning any information by which you can be identified), you can be assured that it will only be used to support your relationship with the Center.

This statement regarding the privacy of the personally identifiable information you provide online covers five main areas: Awareness, Choice, Accuracy & Access, Security, and Oversight.

Awareness

The Center provides this Internet Privacy and Data Statement to make you aware of our privacy policy and practices and of the choices you can make about the way your information is collected and used.

  1. What We Collect
    On some Center web pages, you may be able to order products or services, make requests, and register to receive materials or additional web services. The types of personal information collected on these pages are name, contact and billing information, transaction, and credit card information, and any other information that may be needed to improve our quality of service to you. The Center may also collect some demographic information which is not unique to you, such as your age, gender, preferences, interests, etc.

  2. How We Use It

    The Center uses your information to better understand your needs and provide you with better service. Specifically, we use your information to help you complete a transaction, to communicate back to you, to update you on services and benefits, and to personalize our web sites for you. Credit card numbers are used only for payment processing and are not retained for other purposes.

    From time to time, we may provide you with information we think would be of particular interest. At a minimum, we will always give you the opportunity to opt out of receiving direct marketing information.

  3. Who We Share It With
    The Center will not sell, rent, or lease your information to others. Unless we have your permission or are required by law, we will not share your information with other parties or make your information available for paid or volunteer lists. Only key staff members, leadership, and board members will have access to personal information. This information is typically stored within a database utilized by the Center that is password-protected and relies on its own online privacy policies, including legal requirements for compliance with local, state and federal laws.

  4. Service Providers
    We may employ third party companies and individuals to change or make improvements to the Center’s web site. These third parties have access to your personal data only to perform tasks on our behalf and are obligated not to disclose or use it for any other purpose.

  5. Google Analytics

    Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. Google uses the data collected to track and monitor the use of our service. This data is shared with other Google services. Google may use the collected data to contextualize and personalize the ads of its own advertising network.

    You can opt-out of having made your activity on the Service available to Google Analytics by installing the Google Analytics opt-out browser add-on. The add-on prevents the Google Analytics JavaScript (ga.js, analytics.js, and dc.js) from sharing information with Google Analytics about visits activity.

    Google Analytics, or other third party services, may track information provided to us by your browser, such as the website you came from, the type of browser you use, the device from which you connected to the Center website, the time and date of access, and other information that does not personally identify you.  This information may be tracked using cookies, or small text files which include an anonymous unique identifier.  Cookies may be sent to your browser from our server and are stored on your computer hard drive.  Cookies may be either persistent or session-based; persistent cookies remain on your computer after you close your session and until you delete them, while session cookies expire when you close your browser.

Choice

The Center will not use or share the personally identifiable information provided to us in ways unrelated to the ones described above without first letting you know and offering you a choice. As previously stated, we will also provide you the opportunity to let us know if you do not wish to receive unsolicited direct marketing materials from us and we will do everything we can to honor such requests. Accuracy & Access

The Center strives to keep your personally identifiable information accurate. If you are a member of the Center’s network, we will provide you with access to your information, including making every effort to provide you with online access to your data so that you may view, update or correct your information on the the Center’s site. To protect your privacy and security, we will also take reasonable steps to verify your identity before granting you access or enabling you to make corrections. Certain areas of The Center’s website may limit access to specific individuals, who do so through providing personally identifiable information.

Links to third party web sites on the site are provided solely as a convenience to you. If you use these links, you will leave this site. The Center has not reviewed all of these third party sites and does not control and is not responsible for any of these sites, their content or their Privacy Policy. Thus, The Center does not endorse or make any representations about them, or any information, software or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the third party sites linked to this site, you do this entirely at your own risk.

Security

The Center is committed to ensuring the security of your information. To prevent unauthorized access or disclosure, maintain data accuracy, and ensure the appropriate use of information, we have put in place appropriate physical, electronic, and managerial procedures to safeguard and secure the information we collect. We use encryption when collecting or transferring sensitive data such as credit card information.

Oversight

The Center welcomes your comments regarding this Statement of Privacy. If you believe that the Center has not adhered to this Statement, or if you have questions regarding this Internet Privacy and Data Statement, please contact the Center at info@okcnp.org. We will use commercially reasonable efforts to promptly determine and remedy the problem. The use of our website constitutes agreement with and understanding of this policy's terms.  If any dispute arises between you and the Center as it relates to this Internet Privacy and Data Statement, such dispute shall be submitted and settled in accordance with the Rules of the American Arbitration Association, in Oklahoma County, Oklahoma, and the decision of a single English-speaking arbitrator shall be final and binding.
